Anthropic files confidential S-1 for IPO, plans super-voting shares to shield founders

Anthropic has confidentially submitted a draft S-1 registration to the Securities and Exchange Commission, accelerating a public listing that could happen as soon as the end of August. Morgan Stanley, Goldman Sachs and JPMorgan Chase are managing the offering, which would follow SpaceX's record-breaking $75 billion debut.

The AI company is preparing additional voting rights for co-founders including CEO Dario Amodei, who owns roughly 2 percent of the firm, to insulate leadership from external shareholder pressure. The dual-class structure will preserve an existing Long-Term Benefit Trust that retains the right to appoint a majority of board members.

CFO Krishna Rao declined to commit to a valuation at recent investor briefings after Anthropic raised $65 billion in May. Rival OpenAI has pushed its own listing to 2027.
