UniCredit has amassed an effective 47.59% stake in Commerzbank through its voluntary tender offer and existing holdings, escalating a cross-border banking battle that has drawn fierce opposition from German authorities and the lender's leadership.
The Italian bank now expects the European Central Bank to classify it as having control over its Frankfurt-based rival. However, Commerbank chief executive Bettina Orlopp pushed back, arguing that true integration requires far more than mere ownership and stressing that value creation depends on agreed synergies backed by management, workers, and the German state.
Germany's finance ministry has condemned the move as hostile, while Commerzbank's works council called UniCredit's approach covert and aggressive. Staff representatives warn that a full merger could threaten tens of thousands of jobs, far exceeding UniCredit's own restructuring estimates.
